Cortina Systems Acquires Azanda Network Devices

Deal Brings to Cortina Both the Industry's Leading Traffic Management Products
and Their Engineering Support Team

SUNNYVALE, Calif., Feb. 2 - Cortina Systems, a provider of
integrated circuits that allow network systems designers to economically
integrate bandwidth, computing power and storage into a single piece of
equipment, has acquired Azanda Network Devices.

Effective immediately, Cortina will offer its customers the industry's leading traffic management and
ATM SAR (Segmentation And Reassembly) products. Azanda's support and
development team, which has moved into Cortina's new Sunnyvale headquarters
and has been integrated into Cortina's team, will continue to support existing
and future customers.

"Azanda's solutions are the best-in-class," said Amir Nayyerhabibi,
Cortina's President and CEO. "There is a great synergy between Azanda's and
Cortina's products which fit into the same systems and often the same line
cards. Our top tier systems customers encouraged us to go forward with this
acquisition."

Both Cortina and Azanda had their origins amidst a strong industry drive
to consolidate the physical layer of networks. Such consolidation, which
replaces multiple line cards with single integrated circuits, dramatically
reduces system footprint and costs. At the same time, both Cortina and Azanda
structured their solutions to permit service providers to retain much of their
legacy infrastructure as their systems evolve towards universal use of
Internet Protocol (IP).

Cortina's multiple product lines support SONET/SDH, POS/GFP, as well as
RPR and Ethernet and are tailored to Routing, Transport and Enterprise
applications. Azanda, by contrast, has concentrated on ATM-to-IP protocol
conversion, a particularly complex engineering problem. In combining the two
approaches, Cortina will now be able to offer a total solution to its
customers.
